The RDA Council maintains the vision of the RDA, ensuring the guiding principles of the organisation are maintained, and formally endorses RDA Working and Interest Groups and Recommendations.

The Council is responsible for the overall oversight, success, strategy, and sustainability of the RDA. The powers and authority, together with the processes governing Council membership and responsibilities of the Council are described in the RDA Governance Document.

Elected Council Members also serve as Trustees for the RDA Foundation, an official Charity registered in England and Wales under Company Number 9021881. Details are described in the Foundation’s Articles of Association.

Membership

Council Members are nominated by a Nominations Committee and elected by the general RDA membership. In addition to the 9 elected members, the Council has one permanent representative from UKRI-STFC, the Foundation’s legal entity host, and other consensus forming non-voting members representing the Organisational Advisory Board (OA and OAB), Regional Advisory Board (RAB), Technical Advisory Board (TAB), and the Secretary-General.

Elected Council Members serve three-year terms and may be reelected for a maximum of two consecutive terms. Two co-chairs serve offset two-year terms. Subcommittees

Since its inception in 2013, the RDA Council has established several subgroups to assist in Council business and to advise Council in important areas. Subgroup members are appointed by Council and may include members outside of the official Council.

Financial Subcommittee

The Financial Subcommittee recommends to Council and monitors policies and rules for sound financial practice of the RDA Foundation. The subgroup recommends periodic financial reports to the Council for approval. Policies and processes include, but are not limited to:

 

  • – Internal controls and signing authority
  • – Expenditure authority and approvals
  • – Planning and budgeting

– Financial reporting requirements

  • – Conflict of interest rules
  • – Taxation and audit obligations
  • – Contracting and purchasing policies
  • – Policies around organisational matters, employees and contractors

Financial Sustainability Task Force (2020)

In November 2020, Council established a short term RDA task force focusing on:

 

  • – Identification of appropriate and achievable revenue models for RDA
  • – Aligning financial strategies / plans with the strategic focus for 2021-2023
  • – Engaging with regional offices / representatives to align revenue and business models

Legal Subgroup

The Legal Subgroup is responsible for the oversight and due vigilance of the legal affairs of the RDA. This subgroup is a standing subgroup and called upon where necessary. Members are legal experts called to deal with the subject matter requiring attention.

Nominations Committee

As defined in the RDA Governance Document, Council chooses a Nomination Committee each year. The Nomination Committee is responsible for the effective and efficient execution of the annual RDA Council elections to replace the Council members stepping down that year. The Nominations Committee is also responsible for ensuring the eligibility criteria are met and encouraging candidates to stand.

In addition to the RDA Council Subgroups described above, during 2017-2018, four drafting groups worked on the development of the RDA Strategy for 2018 – 2021. These groups considered: RDA Value Proposition, Financial Sustainability, Growth Management and Regional Engagement. In 2018 and 2019, a further set of subcommittees and task forces were set up by Council to assess RDA membership models, RDA Plenary Meeting Structures, Regional Engagement.

Membership Task Force

The RDA Council set up the membership task force in early 2019, drawing from Council, to define a membership strategy to enable a grassroots activist organisation to grow. It created two types of membership: individual (non-paying) and organisational (OA) paying.

Regional Engagement

The RDA recognises that strong partnerships with its Regional members are crucial to its success as an international organisation.  With this goal in mind, a global Regional Engagement Task Force, set up in 2020, examined and outlined the complementary and mutually-beneficial relationship between the RDA and its Regions and drafted the Regional Partnership Processes document. The RDA recognises that each Region is unique with different values, goals, governance, funding sources, etc.  The purpose of the document is to provide a general framework for the creation and management of RDA Regions that benefit both parties while maintaining alignment and coordination. This document is reviewed and adjusted periodically to ensure it is still relevant and meets the needs of both RDA and the Regions.

Strategy

The strategy subcommittee advised Council on the overall strategic direction of the RDA and the Foundation. The sub committee’s mandate was to monitor and evaluate strategic initiatives (such as the Future Directions initiative), develop suggestions for future strategic initiatives and maintain the long-term vision and mission of the RDA.

Engagement and Communications

The subcommittee tracked progress, evaluated, and reported on the Engagement and Communications actions to Council, recommending modifications to the strategy as appropriate. It’s overall goals were to ensure consistency of Engagement and Communications strategies and actions across regional RDA activities. A specific task for the subcommittee was to oversee delivery of the action lines on Engagement and Communication from the Future Directions document.

Operations and Coordination 

The subcommittee monitored and advised on the overall operations and general organisational health of the RDA. The subcommittee focused on ensuring efficiency and effectiveness of RDA operations with appropriate support by RDA governance and policies.

 

A specific task for the RDA Operations subcommittee was to oversee the delivery of the action lines on Coordination from the Future Directions document.

 

The subcommittee coordinated closely with the other subcommittees.

Sustainability

The sustainability subcommittee developed the overall business model for the RDA and strategy for its implementation. The subcommittee worked closely with stakeholders to develop and implement a strategy that ensured a sustainable stream of income to support the RDA (Secretary General, the Secretariat, and general RDA operations.) The group planned and conducted dialogue with current and potential funders from public and private sectors

Worked with the Funders’ Forum and other funders groups (e.g. G8, CRE, …)

Ensured bids for new regional RDA projects adhered to RDA principles and policies
